BOX Partners, LLC (“BOX”) is committed to conducting business in an ethical and honest manner, and in a way that promotes corporate social and environmental responsibility. Corporate integrity, responsible product sourcing, and the safety and well-being of workers across the global supply chain are of paramount importance to BOX and apply to all aspects of BOX's business. Therefore, BOX requires all suppliers that supply components or products that BOX sells (“Supplier(s)”) to also embody these principles. Supplier shall also ensure that all its suppliers, vendors, agents, and subcontractors who supply components and materials that are incorporated into the products sold to BOX (“Partner(s)”) embody these principles.

This Supplier Code of Conduct (“Code”) establishes minimum standards that must be met by Supplier and its Partners concerning treatment of workers, workplace safety, environmental protection, and ethical business and management practices. Supplier’s operations and entire supply chain must meet these minimum standards. Upon request, Supplier shall disclose to BOX the names and contact information of all Partners.

LABOR AND HUMAN RIGHTS

Voluntary Labor

Supplier shall only use voluntary labor and shall not engage in any form of human trafficking or forced labor, including slave, bonded, indentured, involuntary or prison labor. Workers shall be free to leave work at any time or terminate their employment without the threat or imposition of any discipline, penalty, retaliation, or fine or other monetary obligation.

No Child Labor

Supplier shall not use child labor. The term “child” refers to any person under the age of 16, or under the applicable minimum age for completion of compulsory education, or under the minimum age for employment, whichever is greatest. Workers under the age of 18 shall not perform work that is likely to jeopardize the health, safety or morals of young workers.

Compensation and Benefits

Workers should have the ability to earn fair wages, as determined by applicable local law. Supplier must comply with all applicable wage and hour laws and regulations, including those relating to minimum wage, overtime, and other components of compensation, and must provide all legally mandated benefits.

Work Hours

Supplier must maintain work hours, including overtime, in compliance with all applicable laws and regulations. Supplier shall follow all applicable laws and regulations with respect to working hours and days of rest, and all overtime must be voluntary.

No Discrimination, Abuse, or Harassment

Supplier must be committed to a workforce free of harassment and unlawful discrimination. Supplier shall treat workers with respect and dignity. Suppliers shall not engage in, or threaten workers with harsh or inhumane treatment, including sexual harassment, psychological harassment, sexual abuse, corporal punishment, mental or physical coercion, physical or verbal abuse.

Supplier shall hire and employ workers on the basis of their ability to do the job and shall not engage in discrimination against any worker on the basis of race, sexual orientation, gender identity, color, age, gender, maternity, national origin, disability, religion, ethnicity, marital or pregnancy status, military status, political affiliation, union membership, or any other characteristic other than the worker’s ability to perform the job.

ENVIRONMENT

Health and Safety

Supplier must be committed to the safety and health of their employees and shall provide a safe, healthy, and sanitary working environment in compliance with applicable law and regulation. Supplier shall implement procedures and safeguards to prevent workplace hazards, and work-related accidents and injuries. These procedures and safeguards include health and safety inspections, equipment maintenance, maintenance of facilities, worker training (in their native language) covering the hazards typically encountered in the work, and fire prevention. Safety related information shall be clearly posted in all work areas.

Facilities

Supplier shall ensure that its facilities are in compliance with all applicable laws, rules and regulations, and that all required permits and certificates are obtained and maintained in accordance with such laws, rules and regulations.

Environmental Protection

Supplier shall develop, implement, and maintain environmentally responsible business practices, such as seeking ways to conserve natural resources and energy, reduce waste and the use of hazardous substances, and minimize adverse impacts on the environment. Supplier shall comply with all applicable environmental laws and requirements, including those relating to obtaining, maintaining and adhering to environmental permits and approvals for the conduct of regulated activities.

ETHICS

Business Integrity

Supplier shall have a zero-tolerance policy regarding corruption, misrepresentation, misappropriation, extortion, embezzlement, kickbacks, bribery and any other type of corrupt action to obtain or retain business or to obtain an unfair or improper business advantage. Supplier shall abide by the Foreign Corrupt Practices Act (FCPA) and all applicable anti-corruption laws and regulations of the countries in which they operate.

Gifts and Entertainment

Supplier shall not give gifts or provide meals or entertainment exceeding $100 in value to any BOX employee and avoid gifts when the circumstance creates or appears to create a conflict of interest or appears as an attempt to improperly influence BOX employees (e.g., during a bid process or contract negotiation).

Intellectual Property/Confidential Information

Supplier shall respect intellectual property rights and the confidential information of third parties. Supplier shall implement processes as well as procedures and exercise due diligence to detect and avoid counterfeit parts, the misuse third-party intellectual property rights, or disclosure of third-party confidential information.

Privacy

Supplier shall commit to protecting the reasonable privacy expectations of personal information of everyone Supplier does business with, including other suppliers, customers, consumers and employees. Supplier shall comply with privacy and information security laws and regulatory requirements when personal information is collected, stored, processed, transmitted, or shared.

Fair Business Practices

Supplier will obey applicable laws and uphold generally recognized applicable industry and regulatory standards of fair business, advertising, and competition.

TERMINATION FOR NON-COMPLIANCE

Termination

Among other remedies available to BOX, and notwithstanding anything to the contrary contained in BOX’s agreements with Supplier, BOX may immediately terminate its business relationship (including any purchase order(s) and purchase contracts) with Supplier if Supplier or its Partners fail to meet the standards set forth in this Code.
